Gilead Acquires Arcellx for $7.8 Billion in Strategic Move
Gilead Sciences has announced its acquisition of Arcellx in a transaction valued at $7.8 billion. The deal, revealed on Monday, represents a significant consolidation in the biotechnology sector, particularly in the field of cancer therapies. Gilead will pay $115 per share for Arcellx, which reflects a 79% premium over Arcellx’s stock price at the close of trading on Friday.
The agreement includes an additional incentive for Arcellx shareholders, who will be eligible for a further payment of $5 per share, contingent upon the achievement of certain sales targets in the future. This acquisition underscores Gilead’s commitment to expanding its portfolio in innovative therapies, especially those targeting challenging conditions like multiple myeloma.
Focus on CAR-T Therapy Development
A central component of the acquisition is the experimental CAR-T therapy known as anito-cel. Initially developed by Arcellx, this therapy has been co-developed by Kite Pharma, Gilead’s cell therapy division, since 2023. The collaboration between Gilead and Arcellx began with a co-marketing agreement, reflecting their shared goal of advancing cancer treatment options.
CAR-T therapies have gained attention for their potential to treat various types of cancers by utilizing genetically modified T cells to target and eliminate cancer cells. The successful integration of anito-cel into Gilead’s offerings could enhance its position in the competitive oncology market.
